Why do I need a Letter of Intent?

A Letter of Intent sets out the key terms of a transaction agreed upon by the parties.  It is usually entered into upfront – after the key terms are agreed to and before the beginning of detailed due diligence and drafting of the definitive transaction documents.

Assumptions: This model document assumes sale of all of the assets of a business, a single corporate buyer and a single corporate seller, simultaneous signing and closing of the transaction, and a confidentiality agreement between the buyer and seller that is already in place.
