Letter of Intent for Dental Practice Acquisition

$133.33

Are you looking to purchase a dental practice and need to set out the terms of your offer?

Why do I need a Letter of Intent?

A Letter of Intent sets out the key terms of a transaction agreed upon by the parties.  It is usually entered into upfront – after the key terms are agreed to and before the beginning of detailed due diligence and drafting of the definitive transaction documents.

A Letter of Intent can save valuable time and financial resources by identifying deal breakers early in the deal process.  A seller would typically require a written offer from the buyer, and a Letter of Intent can enhance deal commitment and ease your seller’s mind.

Although this model Letter of Intent is drafted to be a tad more favorable in favor of the buyer, it aims to be reasonable and to reduce the time and expense it takes to get to the final version of the definitive transaction documents.

This model document assumes sale of all of the assets of a business, a single corporate buyer and a single corporate seller, simultaneous signing and closing of the transaction, and a confidentiality agreement between the buyer and seller that is already in place.
